東芝 昔のCEOの影響力

東芝の不正会計問題は、企業統治が形骸化していたという見方に収斂しつつある（下記、読売新聞社説）。これに対し、WSJは、日本企業のボードには、既に10年以上前に退任した東芝の西室元会長を例にして幽霊が徘徊していると皮肉る（下記、WSJ記事）。日本のメディアは、形骸化に問題の焦点を当てて、何代もの社長OBが目を光らせる日本企業の特殊性から読者の目を逸らそうとしているように思われる。改革の方向性から遠ざけていると言うべきであろう。

東芝は社外取締役をいち早く導入するなど、ガバナンス（企業統治）改革の先駆者とみなされてきた。だが、形ばかりで中身が伴っていなかったと言われても仕方があるまい。統治体制の抜本的な見直しが求められる。

TOKYO—It has been a decade since Taizo Nishimuro held an executive position at Toshiba Corp., but that didn’t stop the 79-year-old from playing a critical role when the company suffered from an accounting scandal.

Mr. Nishimuro, a former Toshiba chairman and chief executive, says he urged Chairman Masashi Muromachi to stay put, even as the scandal resulted in the resignations of three former chief executives this week.
